AGREEMENT TO OUR LEGAL TERMS
We are REAL Center of Learning LLC, doing business as StudyHall (“Company,” “we,” “us,” “our”), a company registered in Virginia, United States, with principal operations in Richmond, Virginia (23223).
We operate the mobile application StudyHall (the “App”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”).
StudyHall is a technology coordination platform that facilitates scheduling and coordination of in-person tutoring sessions between parents/students and independent tutors at approved third-party locations. StudyHall does not provide tutoring services, does not employ tutors, and does not supervise tutoring sessions. Tutors are independent contractors solely responsible for the services they provide.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and REAL Center of Learning LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.
IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
We will provide you with prior notice of any material changes to these Legal Terms as reasonably required by law. The modified Legal Terms will become effective upon posting in the Services or upon notice to you. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms.
Eligibility and Minor Users
The Services are intended for:
- Parents/legal guardians who create and manage student profiles for minors; and
- Adult tutors (18+).
Minors may participate in in-person tutoring sessions and may have profiles on the Services only under an account created and managed by a parent or legal guardian.
We recommend that you print a copy of these Legal Terms for your records.

1. OUR SERVICES
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation. Those who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
Industry-Specific Compliance
- Children’s Privacy (COPPA Compliance). StudyHall serves K–12 students and may collect personal information relating to minors through parent/guardian-managed accounts. StudyHall does not knowingly collect personal information directly from children under 13 without verifiable parental consent where required.
- Independent Contractor Status of Tutors. Tutors using StudyHall are independent contractors and are not employees, agents, representatives, or partners of StudyHall or REAL Center of Learning LLC. StudyHall does not control, direct, or supervise tutoring services provided by tutors.
- Background Screening and FCRA. StudyHall may facilitate identity verification and background screening through third-party providers. Where applicable, such screenings are performed in accordance with the Fair Credit Reporting Act (FCRA) and other applicable laws. StudyHall does not generate consumer reports and does not guarantee completeness, accuracy, or ongoing validity of screening results.
- Payment Processing and PCI Compliance. Payments are processed through third-party payment providers, such as Stripe. StudyHall does not store full payment card numbers and relies on the processor’s security practices and PCI DSS compliance.
- Location and In-Person Session Compliance. Sessions occur at third-party locations, including libraries, cafés, community spaces, and similar locations. StudyHall does not own, operate, or control these locations and does not supervise in-person interactions. Users must comply with location rules and policies.
- No Educational Accreditation or Licensing Representation. StudyHall is a technology platform and does not represent itself as an accredited educational institution, licensed tutoring agency, or certified academic provider.
- Compliance with Applicable Laws. Users agree to comply with applicable local, state, and federal laws while using the Services, including those relating to education, privacy, background screening, taxation, and professional licensing.
2. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, designs, and content (collectively, the “Content”), as well as the trademarks, service marks, and logos (the “Marks”).
The Content and Marks are provided in or through the Services “AS IS” for your personal, non-commercial use, except as expressly permitted by these Legal Terms.
Your use of our Services
Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes.
No part of the Services, Content, or Marks may be copied, reproduced, republished, distributed, sold, licensed, or exploited for any commercial purpose without our express prior written permission.
Your submissions and contributions
Submissions. If you send us feedback or suggestions (“Submissions”), you agree we may use them without restriction or compensation.
Contributions. If the Services allow posting of content (“Contributions”), you acknowledge Contributions may be visible to others.
We may remove or edit content that violates these Legal Terms or is harmful.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
- all registration information you submit will be true, accurate, current, and complete;
- you will maintain the accuracy of such information;
- you have the legal capacity to comply with these Legal Terms;
- if you are a parent/guardian managing a minor profile, you have authority to do so;
- you will not access the Services through automated or non-human means;
- you will not use the Services for illegal or unauthorized purposes; and
- your use will not violate applicable law.
4. USER REGISTRATION
You may be required to register to use the Services. You agree to keep your credentials confidential and are responsible for all activity under your account.
We reserve the right to reclaim or change usernames that are inappropriate, misleading, or objectionable.
5. PURCHASES AND PAYMENT
We accept the following forms of payment:
- Visa
- Mastercard
- American Express
- Discover
All payments shall be in US dollars.
You agree to provide accurate billing and payment information and to keep it current.
We may correct pricing errors even if payment has been requested or received, and we may refuse or cancel transactions where permitted by law.
6. POLICY
Unless otherwise required by law, payments are final. However, StudyHall may, in its sole discretion, issue refunds or credits to resolve:
- billing errors or duplicate charges;
- verified fraud;
- verified platform malfunction that prevented service delivery;
- disputes handled under StudyHall’s review process; or
- other situations where we determine a refund/credit is appropriate.
Chargebacks and disputes may result in account limitation or suspension while under review.
7. PROHIBITED ACTIVITIES
You may not use the Services for any purpose other than that for which we make the Services available.
As a user, you agree not to:
- circumvent or attempt to circumvent platform security features;
- harass, abuse, defame, threaten, or harm others;
- impersonate others or misrepresent identity/credentials;
- scrape, mine, or extract data from the Services;
- upload malware or interfere with functionality;
- arrange bookings off-platform after initiating contact on StudyHall;
- solicit or accept off-platform payments for sessions initiated through StudyHall;
- engage in unsafe or inappropriate conduct at session locations;
- record sessions without required consent;
- use the Services for illegal activity;
- sell or transfer your account/profile;
- advertise or offer to sell unrelated goods/services through the Services without authorization.
We may suspend or terminate accounts for violations.
8. USER GENERATED CONTRIBUTIONS
The Services may allow you to submit content such as profile info, reviews, ratings, messages in public areas, or other materials (“Contributions”). Contributions may be viewable by others.
You represent that your Contributions:
- do not violate law or others’ rights;
- are not hateful, abusive, discriminatory, or deceptive;
- do not exploit minors or include unlawful content;
- comply with these Legal Terms.
9. CONTRIBUTION LICENSE
By posting Contributions to any part of the Services, you grant us a non-exclusive, royalty-free, worldwide license to host, store, display, reproduce, and distribute your Contributions only as reasonably necessary to operate, promote, and improve the Services.
Clarification: “Contributions” do not include:
- private in-app messages,
- payment information,
- background check data, or
- minor profile data,
which are governed by our Privacy Policy and applicable law.
10. MOBILE APPLICATION LICENSE
Use License
If you access the Services via the App, we grant you a revocable, non-exclusive, non-transferable limited right to install and use the App on devices you own or control, strictly in accordance with these Legal Terms.
You shall not decompile, reverse engineer, modify, or create derivative works from the App except where permitted by law.
Apple and Android Devices
If obtained through the Apple App Store or Google Play, you must comply with the applicable store rules. App distributors are third-party beneficiaries of this section.
11. THIRD-PARTY WEBSITES AND CONTENT
The Services may link to third-party websites or services. We do not control and are not responsible for third-party sites, content, privacy practices, or transactions.
Your access to third-party sites is at your own risk.
12. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to:
- monitor the Services for violations;
- restrict access or remove content;
- take legal action for violations;
- manage the Services to protect our rights and users.
13. PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy at: https://joinstudyhall.org/privacy-policy.
By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.
14. COPYRIGHT INFRINGEMENTS
If you believe any material infringes your copyright, please notify us at privacy@joinstudyhall.org with sufficient detail to investigate.
15. TERM AND TERMINATION
These Legal Terms remain in effect while you use the Services.
We may suspend or terminate your account at any time for violations, suspected fraud, safety concerns, or as otherwise permitted by law.
If terminated, you may not create a new account to bypass restrictions.
16. MODIFICATIONS AND INTERRUPTIONS
We may modify, suspend, or discontinue the Services at any time. We do not guarantee continuous availability.
We are not liable for downtime, outages, or interruptions.
17. GOVERNING LAW
These Legal Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules.
18. DISPUTE RESOLUTION
Informal Negotiations
Parties agree to attempt to resolve disputes informally for at least 30 days before arbitration, unless the dispute is excluded below.
Binding Arbitration
Disputes not resolved informally will be resolved by binding arbitration under AAA rules. Arbitration will take place in Richmond City, Virginia, unless otherwise required by law.
Restrictions
No class actions. Arbitration is individual.
Exceptions
Claims for intellectual property enforcement, unauthorized use, or injunctive relief may proceed in court.
Time Limit
No dispute may be commenced more than one (1) year after the cause of action arises, to the extent permitted by law.
19. CORRECTIONS
We may correct errors, inaccuracies, or omissions at any time without notice.
20. DISCLAIMER
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” YOUR USE IS AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
WE DO NOT WARRANT OR GUARANTEE:
- the accuracy of content;
- uninterrupted service;
- that tutors will meet expectations; or
- that locations are safe or suitable.
21. LIMITATIONS OF LIABILITY
To the maximum extent permitted by law, StudyHall and its affiliates, officers, employees, and agents shall not be liable for indirect, incidental, consequential, exemplary, or punitive damages.
Our total liability shall be limited to the lesser of:
- the amount paid by you to us in the prior six (6) months, or
- $1,000 USD.
Some jurisdictions do not allow certain limitations; your rights may vary.
22. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless StudyHall and REAL Center of Learning LLC from claims arising out of:
- your use of the Services;
- your violations of these Legal Terms;
- your interactions with other users;
- your Contributions; or
- your misconduct during sessions.
23. USER DATA
We maintain certain data to operate the Services. You are responsible for the data you transmit. We are not liable for loss or corruption of data.
24. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
You consent to electronic communications and agree that electronic records satisfy legal writing requirements.
25. CALIFORNIA USERS AND RESIDENTS
If a complaint is not resolved, California residents may contact the California Department of Consumer Affairs as applicable.
26. MISCELLANEOUS
These Legal Terms and any posted policies constitute the entire agreement. If any provision is unenforceable, the remaining provisions remain in effect.
No joint venture, partnership, employment, or agency relationship is created between you and us.
27. ASSUMPTION OF RISK (IN-PERSON SERVICES)
Users acknowledge that tutoring sessions occur in person and that in-person interactions carry inherent risks. StudyHall does not supervise sessions and is not responsible for personal injury, property damage, theft, or misconduct occurring during sessions.
StudyHall does not own, operate, or control third-party locations and makes no guarantees regarding the safety, condition, or suitability of any location.
28. NO GUARANTEE OF ACADEMIC RESULTS
StudyHall does not guarantee academic improvement, grades, test scores, or educational outcomes.
29. OFF-PLATFORM PAYMENT PROHIBITION
Users may not arrange, solicit, or accept payment outside the StudyHall platform for any session or relationship initiated through StudyHall. Circumventing platform payments may result in suspension or termination of accounts, forfeiture of payouts, and other actions permitted by law.
30. BACKGROUND CHECK LIMITATION DISCLAIMER
Approval of a tutor following background screening does not constitute endorsement or guarantee of safety. Screening is limited to the scope of third-party reports and does not guarantee ongoing suitability. Parents/guardians remain responsible for evaluating tutor suitability for their child.
31. EMERGENCY RESPONSIBILITY CLAUSE
StudyHall is not an emergency response service. In emergencies, contact local emergency services first. Parents/guardians remain responsible for supervising minors and ensuring safe participation in sessions.
32. QR ATTENDANCE & PAYMENT RELEASE CLAUSE
Payment is released only upon confirmed attendance via StudyHall’s verification system, including QR check-in/check-out or equivalent confirmation. If verification is not completed, payment may be delayed, canceled, refunded, or withheld pending dispute review.
33. REVENUE SHARING DISCLOSURE (INTERNAL PROTECTION)
StudyHall charges a platform service fee on sessions booked through the Services. Default service fee: 15% of the session price, collected from the student/parent side unless otherwise disclosed at checkout.
Where applicable, StudyHall may share a portion of its service fee with participating hosting locations. If a location opts into hosting revenue share, StudyHall may allocate 5% out of the 15% service fee to that hosting location, and StudyHall retains the remaining service fee amount.
Fees are disclosed prior to booking confirmation and may vary by location, promotion, or program terms.
